Sony/Michael Jackson Venture to Buy Acuff-Rose

By Jeffrey Goldfarb

NEW YORK (Reuters) - The King of Pop is moonwalking all over Nashville. Pop superstar Michael Jackson and his partners at Sony Music Entertainment have agreed to buy the legendary country music publisher Acuff-Rose, whose 55,000-song library includes works by Hank Williams, Roy Orbison and the Everly Brothers, the seller, Gaylord Entertainment Co., said on Tuesday.

More than 100 Acuff-Rose songs have been broadcast at least one million times, including "Oh Pretty Woman," made famous by the late Roy Orbison, and "Tennessee Waltz," which became a No. 1 hit in 1950 when Patti Page recorded it.

By acquiring the 60-year-old Acuff-Rose, the venture, Sony/ATV, adds the oldest country music publisher to the biggest, Tree International, which it acquired in 1989 and which is now known as Sony/ATVTree. However, Sony/ATV remains relatively small in a music publishing field led by EMI Group Plc ( news - web sites).'s EMI Music Publishing and AOL Time Warner Inc.'s Warner-Chappell.

Sony/ATV sees the deal having broad international value.

"It's considered one of the great jewels in country music, but we view it much more as a pop catalog because Roy Orbison, the Everly Brothers and Don Gibson may be country in Nashville, but internationally they're considered to be pop," said Paul Russell, the chairman of Sony/ATV Music Publishing.

Gaylord is selling Acuff-Rose for $157 million cash to Sony/ATV, which owns and/or administers the copyrights and catalogs for music by the Beatles, Miles Davis, Bob Dylan, Elvis Presley and Pearl Jam, among others.

Sony/ATV was formed in 1995 when Sony Music Entertainment and Sony Music Entertainment (Japan) teamed up with the notoriously eccentric, one-gloved Jackson. It has nearly 300,000 songs in its stable, about 1,000 of them co-owned with Acuff-Rose, Russell said.

Jackson stunned the music world in 1985 when he bought the Beatles library, a move that music channel VH1 ranked No. 38 on its "most shocking moments in rock 'n' roll" list. Atop that chart was the 1980 murder of Beatle John Lennon, while No. 2 was the 1993 sexual abuse charges against Jackson.

GAYLORD NARROWS FOCUS

Gaylord is based in Nashville, Tennessee, and owns hotels, golf courses and the world-renowned Grand Ole Opry. It said it was selling Acuff-Rose, which it bought in 1985, so it could focus more on the hospitality industry by paying off debt and investing in hotels that cater to big conventions.

Acuff-Rose was founded in 1942 on a handshake deal between singer Roy Acuff and songwriter Fred Rose, who quickly turned it into a Nashville powerhouse.

Russell, the Sony/ATV executive, said the venture paid nearly 17 times net publishers share (NPS), the music copyright profit measure, for Acuff-Rose.

"It's on the high side, but these things don't come along every day of the week," he said. "It's a bit like buying real estate ... If you want to buy on Park Avenue, you have to pay Park Avenue prices."

Sony formed its music division in 1988 when it bought CBS Records and renamed it Sony Music Entertainment. The division added a publishing arm in 1989 when it bought Tree International and its country standards "Heartbreak Hotel," "King of the Road" and "Crazy," among others.

Continued consolidation in the music publishing business has alienated some smaller artists, who get less attention from corporate bosses with thinly spread resources.

"I would be a little concerned if I were one of the smaller fish in the Acuff-Rose catalog that Sony would even know my copyright existed," said David Hirshland, vice president of business and legal affairs for independent publisher Bug Music, which has a presence in Nashville. "I have a great deal of respect for the people at Sony, but pretty much every major publisher is understaffed and doesn't have the manpower to pay attention to all the copyrights."

Over the years, the Sony Music Entertainment publishing unit bought the Randy Bachman catalog, which includes "Takin' Care of Business" and the Tom Kelly/Billy Steinberg catalogs, which include megahits "Like a Virgin" and "I Touch Myself."

Gaylord shares closed down 9 cents to $20.75 on Tuesday on the New York Stock Exchange ( news - web sites).

Michael is no longer a Sony recording artist, but he does share a very lucrative publishing company with them.I don't think he's willing to give all that up,at least not at the moment...lol...

Like I've said before, you can't get mad at a guy who does have a good business sense. No wonder MJ was willing to let Invincible tank for the catalog, and no wonder why Mottola tried to pull the screw job (like he did to Mariah and George Michael). This ATV is becoming a juggarnaut, MJ doesn't have to make an album again!

Michael knew all along what the venture meant and he is still making money whether he is with Sony Music or not. ROFLAMO Mattola has just gotta live with it and forget the politics and save face.

Fancy leaving your Employer and owning half of a major division of your Employer. I wish Prince had done that to Warners that would have been so cool!

So true! That's why Michael is feeling real good these days, making boastful comments like "I own half of Sony".I think he's alot smarter than people give him credit for.He also owns his master recordings too.

I was hoping he would take some time off before recording his next album. But now I hear that he is working with the Murder Inc. producers for his next album, due next summer!

Sony Buys Acuff-Rose Catalog from Gaylord
Wed Jul 3, 3:35 AM ET
By Justin Oppelaar

NEW YORK (Variety) - Sony/ATV Music Publishing had a lot more country tunes to croon Tuesday after it paid $157 million to acquire the storied Acuff-Rose music publishing catalog from Nashville-based leisure and resort firm Gaylord Entertainment.

The purchase adds 55,000 copyrights to the Sony/ATV catalog, including popular work from such country and pop acts as Roy Orbison and Hank Williams, as well as newer stars such as Brooks & Dunn and Tim McGraw.

Sony was already far and away the largest country-music publisher in the world, with more than 150,000 titles in its archives before the Acuff-Rose deal.

But as songwriters have become increasingly savvy of the earnings power of their copyrights and are keeping them for themselves, "It's become very unusual to see new catalogs of this quality come on the market," Sony/ATV chairman Paul Russell told Daily Variety. "This one is a real jewel."

Russell added that the profit potential of the catalog should increase over time, as Acuff-Rose's administration deals with other companies expire and Sony takes them over with its own inhouse publishing facilities.

Gaylord plans to use proceeds from the sale to pay down its $400 million debt load and to finance the expansion of its national resort network, which now includes entertainment complexes in Tennessee, Florida and Texas.

The company is expecting to break ground soon on a new resort near Washington, D.C. -- at an expected cost of roughly $450 million. Gaylord also has $89 million in debt outstanding from the development of the Florida property in February, which it expects to cut to $60 million thanks to the deal with Sony and other transactions.

Acuff-Rose deal marks the second time in the past 12 months that Gaylord has sold off a major music property. In November, it sold Christian record label Word Entertainment to Warner Music for $80 million, instantly vaulting the major-label group to the forefront of the genre.

Gaylord also controls Nashville's legendary Ryman Auditorium, as well as the Grand Ole Opry and country radio station WSM.

Nope, no mention of Mike. Is this a gross oversight, or is the previous news item inaccurate? What do u think?

 you are 100% correct!! This LOSER knows he can't get in the paper anymore or should I say in the last 3 to 4 years because of Music or being a "Musican"..

so every other week.. WE must see these planeted dumb stories about everything from this ( trying to show I am a good business man.. so please like me again)

* to Prince my son (which on the birth certificate it does NOT say his name is "Prince") My son Prince is going to die ( so please pitty me.. and please like me again

* to I broke my foot ( which was because he knew the rock & roll hall of fame was coming up.. he KNOWS he can't sing LIVE anymore and hasn't since 1993.. so he uses this broken foot to get out of this.. but if you listen to the speech someone yells "just sing".. but again Please pitty me.. and please like me again)

* to I was outside of the david blaine ice trick in nyc ( hey the public liked this guy.. so I will place myself with him.. to make me look hip & one of the normal people)

By the way that last album BOMBED.. not in sales really but when it cost $30 Million to Produce ( which again this was yet another PR hype move.. NOW that the album BOMBS they are trying to say they didn't say this or it didn't cost that much) Back to my Point because that album BOMBED MJ had to give UP HALF of his Beatles Publishing to SONY.. He used to OWN ALL of it..

The funny thing about this guy is it is ALL EGO.. IF he was a true musican HE should do what Prince has done.. Record your own music or pay a few producers out of your pocket.. EVERYONE KNOWS who Michael Jackson is.. so He can PUT out his own Album on his own money under his own company.. (like Prince.. control your own career) MJ easily can move 1 million copies on his name alone around the world.. and if he did it on his own.. HE can get $8 Bucks PER Album which he would make a TON of money..

BUT he can careless.. HE is LOSING MONEY.. doing it this way AND he seems to NOT care ALL he cares is IF HIS Name is in The Paper and sadly because of this he "might" actually NEED Money? MJ is more concerned about EGO & the public kissing his ass??

what a strange man?

ONE of these days this guy is going to have to "down size" his life and career.. because like now the public has moved on.. so he CANT keep spending $30 million on projects no one cares about..

dude, no one cares.. you did allot in the past, but no one cares.. let it go! enjoy life and forget about your EGO and getting your ass kissed..

you have to change your point of view on life..

EVERYONE is Mentally FED UP by you and your PR Nonsense.

he spend a lot of money on the album making 50 songs but those did not make the cut. it was sony who said mj spend 30 million. he has an ego but he knows better than musicains. he doesn't just want to make music and have a limited audience. he doesn't want to work hard for muisc and get limited recognition. everybody mentions mj as an influnce. only those neo-soul artists mention prince.and neo-soul isn't even big like rock, etc.
he isn't a musician.if u read his past interviews, you'll find out he says a lot about black influences who ppl. don' credit. isn't it better than prince who said he had no inspiration? not everybody has to know how to play insturments. if u read some past interviews or see the booklet for invincible, you will find out he does play insturments.

mj's eccentricity ruins any respect that he deserves but he also has fans due to it. the same as prince.

maybe all those tricks liek the ice trick fasinates him. i wouldn't go to see mj just cause i know he is famous but he makes good music. why do u think invincible was bad?? it was not his best but it wasn't bad. someone here said that prince's trc was bad for them. thus, to fill in the void he listened to mj's new album. u can not tell me u did not like let alone love songs like butterfly, etc. trc was a horrible album.

mj is a good businessman. not prince. thus, prince is forgotten, right? anything mj does is reported in the newspaper. for goodness sake, u should all know the tabloids, newspapers and others extensions of media would do anything for any info. for ex:, maddy's wedding pic would have gotten a papparazzi $250,000. even though it is just a pic.

why do u think he would lie about his broken foot??? how would u know any of what u said??

by him attacking sony, he is doing a lot for the present/future.

he is making the world understand that recording labels are very difficult and will stop at nothing to destroy an artist.

unlike mariah, george michael, etc.; he is standing up to the boss and getting results. this way future artists will have a better chance.

he isn't going to let the ppl. destroy him. he worked hard for a lot of things. he isn't just going to accept that ppl. don't like his image. his music is still good and he knows how to make him music be appreciated and charts-oriented. prince can be a star again if he made his music charts-oriented. but that is not his deal. not all of his music is good anyway. mj wants respect, fame, glory, etc. and he makes music ppl. want, love, appreciate.

nobody gives a fuck about your profile, what do you know exactly: mj, madonna, m carey? You seem to know shit about P & music in general
& your Palestine statement - beside pop music consideration- is just supid, some things are too important and dramatic to be use as fashion of the moment.

IF NO ONE GIVES A FUCK LIKE U, DON'T REPLY RIGHT?! STUPID.

I didn't "reply" because you didn't ask a question dumbass & what do you exactly about the situation in Israel? Endless nought

WHAT DO I EXACTLY WHAT IN ISRAEL?? READ UR SENTENCE DUMBWIT!

KURT AND HIS WIFE SAID THAT HE LOVES MJ AND EVEN DID ARTWORK OF MJ. HAVE I EVER SAID MJ WAS GOOD-LOOKING???
I SAID HE IN THE PIC MAKES HIM LOOK LIKE AN ANGEL. IN MY PROFILE WITH HIS WHITE SKIN, BLONDE HAIR, BLUE EYES, AND THE EXPRESSION HE WAS MAKING MAKES HIM LOOK LIKE AN ANGEL. I ASSURE U I WOULD SAY SOMETHING DIFFERENT IF U SHOW ME HIS LATEST PIC.
I AM SURE I WOULD BE UGLY TO THE EYES OF WHOM I DON'T EAT WELL OR EXERCISE OR HAVE A GROWTH SPURT,ETC. PRINCE GOT SOME UGLY FANS HIMSELF, EVERY STAR DOES. MAYBE U ARE UGLY URSELF. AS I SAY EVERYDAY OR ANOTHER IN OUR NOTES, WHO THE FUCK ARE U ANYWAY?! GO LEAVE TO ANOTHER PRINCE COMMUNITY!!! I AM HERE TO LEARN AND JUDGE.
