i miss IHOP...i lived just down the block from one for the six years i lived in chicago! i'd only go when out-of-town friends visited and were all, "OMFG!! IHOP!!!" and now i'm one of those people! i spent enough time in indiana over the past couple of months to fulfill my junk food/fast food quota until i'm 45, though...so i think i'll be okay. | |

Rochester may see some changes in the wake of a flip-flop involving IHOP buying the Applebee's restaurant chain. Shareholders of Applebee's International Inc. on Tuesday approved a $1.9 billion buyout offer from IHOP, also known as the International House of Pancakes. Rochester now has two Applebee's -- one at the 3794 Marketplace Drive N.W. and one at the Apache Mall. In the past few months, word has circulated around Rochester that an IHOP franchisee is cooking up a location here. It is unclear if the buyout would affect such a deal. IHOP left Minnesota many years ago, but it returned in 2002 with four Twin Cities suburbs locations. In Overland Park, Kansas, the home of Applebee's, more than 70 percent of the company's shares voted to approve the agreement. Critics said it shortchanged shareholders. Under terms of the deal, shareholders of Overland Park-based Applebee's will be paid $25.50 per share, a 4.6 percent premium over its closing price on the day before the offer was announced. Glendale, Calif.-based IHOP is also assuming $155 million in Applebee's debt as part of the deal. The sale is expected to close by Nov. 29. The combined company would have $6.8 billion in annual sales and more than 3,200 restaurants. Officials at both companies have characterized the deal as a way to help rejuvenate Applebee's, one of the nation's largest restaurant chains. Its profits and sales have fallen in the past year as rising fuel and housing costs and changing consumer behavior have reduced traffic in its dining rooms. The deal is viewed as a coup for IHOP, which is smaller than Applebee's but has had success in building its own brand and sales in the face of economic headwinds. Julia Stewart, IHOP's chief executive officer and a former Applebee's executive, has said she plans to franchise most of Applebee's 510 company-owned stores and sell real estate tied to around 200 of those stores as a way to pay for the deal.
