WOO-HOOO Comcast took over time warner

Now i can watch my nfl network and VH1 classic soul channel. Time warner sucked anyway but i did get a great deal with them. I had show time, movie channel, cinemax, and starz and at least 800 channels for only 45 dollars.

umm actually comcast and time warner have allready been merged, and they bought Adelphia

shrug

[quote]Time Warner (TWX) and Comcast (CMCSA) resolved two vexing problems Thursday as they claimed victory in the months-long bidding war for Adelphia Communications (ADELQ).

Their $17.6 billion offer for the No. 5 cable operator clarifies the future for its 5.2 million subscribers. That has been cloudy since it sought bankruptcy protection in 2002 after disclosing irregularities involving the founding Rigas family.

A separate deal between Time Warner and Comcast untangles a financing scheme of theirs that has troubled investors since 1992.

"This closes that chapter," Comcast CEO Brian Roberts says.

If a bankruptcy judge and regulators OK the deal, Adelphia creditors will get $9.2 billion in cash from Time Warner, $3.5 billion from Comcast, and 16% of new, publicly traded Time Warner Cable.

Time Warner Cable will have 14.4 million subscribers including 3.5 million from the new deals. Most are from Adelphia, but some will come from Comcast, which also will get $2 billion in cash from Time Warner Cable. Time Warner will hold 84% of its stock, which it may use for other acquisitions.

Meanwhile, Comcast will gain 1.8 million customers for a total of 23.3 million.

It will give up a 21% stake in Time Warner's cable systems, which it inherited in 2002, when it bought AT&T Broadband. The Federal Communications Commission gave Comcast until 2007 to divest.

The companies say the deals will help each to sell phone services and advertising in key markets.

"We're seizing a unique opportunity to acquire strategic cable assets at an attractive value," Time Warner CEO Dick Parsons says.

Time Warner gains domination in Los Angeles, Cleveland and Dallas. Comcast broadens its reach in Florida, Virginia, New England and Pennsylvania.

Rivals and consumer advocates may challenge the deal, which needs FCC, federal antitrust and local cable-regulator approval.

But Time Warner and Comcast say they expect it to pass after a review period that could last a year.

Wall Street analysts agree. "I don't think the federal government is going to say 'No,' " says Harris Nesbit's Jeffrey Logsdon.

The companies scoff at the idea that Cablevision Systems, which made an 11th-hour bid of $17.1 billion, might topple the deal, which has a $440 million breakup fee.

"There's been a lengthy and exhaustive process that led us to this point," Parsons says. "The fat lady has sung."
